1. Acceptance of Terms
1.1 By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
1.2 Your continued use of the Service constitutes your acceptance of any amendments to these Terms. If you do not agree, you must discontinue use immediately.
2. Entity
2.1 The Service is operated by MEERFI LLC, a New Jersey limited liability company, with its principal place of business at 7000 JFK Boulevard East, Suite 17A, Guttenberg, NJ 07093.
3. Eligibility
3.1 You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use the Service.
3.2 If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
4. Service Description
4.1 MEERFI LLC provides AI-powered operations infrastructure for small and medium businesses ("SMBs"), including partner onboarding, document verification, risk scoring, and 24/7 AI concierge services.
4.2 The Service leverages third-party infrastructure, including Google Cloud Platform, for AI processing. Service availability is subject to the operational status of such infrastructure.
5. Account Security
5.1 You are solely responsible for maintaining the confidentiality of your account credentials, including your password.
5.2 You must promptly notify MEERFI LLC at [email protected] of any unauthorized access or suspected breach of your account.
5.3 MEERFI LLC shall not be liable for any loss or damage arising from your failure to safeguard your account credentials.
6. Intellectual Property
6.1 All intellectual property rights in the MeerFi platform—including but not limited to AI algorithms, software, designs, trademarks, logos, and documentation—are the exclusive property of MEERFI LLC.
6.2 You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. No right to copy, modify, or create derivative works is granted.
7. Payment
7.1 All payments are processed through Stripe, Inc. By using the Service, you agree to Stripe's Services Agreement and applicable payment terms.
7.2 MEERFI LLC does not store or process payment card data directly. All payment data is handled by Stripe in accordance with PCI-DSS standards.
8. Service Interruptions
8.1 MEERFI LLC and its infrastructure providers (including Google Cloud) may perform scheduled or emergency maintenance that results in temporary service unavailability.
8.2 To the extent permitted by law, MEERFI LLC shall not be liable for any damages arising from service interruptions, maintenance, or failures of third-party infrastructure.
9. Limitation of Liability
9.1 MEERFI LLC provides AI-driven insights and analytical tools for informational purposes. The final business decisions and regulatory compliance obligations remain solely the responsibility of the partner or user.
9.2 MEERFI LLC shall not be liable for any indirect, incidental, consequential, or punitive damages—including but not limited to loss of profits, data, or business opportunities—arising from reliance on AI analysis results or use of the Service.
9.3 Our AI tools are intended to assist, not replace, human judgment. Users assume full responsibility for verifying and acting upon any AI-generated outputs.
10. Jurisdiction
10.1 These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict of law principles.
10.2 Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in New Jersey.
Refund & Cancellation Policy
11. Cancellation
11.1 You may cancel your subscription at any time through your account settings or by contacting [email protected].
11.2 Cancellation takes effect at the end of your current billing cycle. You will retain access to the Service until the end of the paid period. No prorated refunds are provided for partial billing periods.
12. Refunds
12.1 We offer a 7-day money-back guarantee for first-time subscribers. Refund requests must be submitted in writing to [email protected] within 7 days of the initial charge.
12.2 Refunds may be denied or prorated if you have consumed a substantial portion of AI credits or utilized premium features during the 7-day period, as determined by MEERFI LLC in its sole discretion.
12.3 Fees for the current billing cycle are non-refundable after 7 days from the charge date.
12.4 You agree to contact MEERFI support at [email protected] to resolve any billing disputes before initiating a chargeback through your bank or card issuer.
